Our goal is to push all promising civic oriented projects to production by encouraging companies to pursue them or by finding homes for the projects in non-profit and other ventures. TERMS

 

In connection with your participation in the #COVIDCHALLENGE 2021 held on and between April 15, 2021 and April 17, 2021 (the “Event”), you irrevocably assign, transfer and convey to Social Venture Partners, LLC, its successors and assigns (the “Sponsor”), all of your right, title, and interest in and to any works, inventions or intellectual property, including any discovery, development, design, formula, process, improvement, idea, innovation, know-how or information, patent applications and patents worldwide therefor, any computer program, publishable article, mask work, trademark, service mark, trade name, trade secret, sales brochure, work of art, or technical report, in each case whether copyrightable or not that either you solely, or in concert with others, solely in connection with your participation in the  Event (collectively, the “IP”), and further agree that the Sponsor owns the IP, effective as of April 15, 2021. To the extent any of the rights, title and interest in and to any such IP cannot under applicable law be assigned by you to the Sponsor, you hereby grant to the Sponsor an exclusive, royalty-free, transferable, irrevocable, worldwide, fully paid-up license (with rights to sublicense) to fully use, practice and exploit those non-assignable rights, title and interest, including, but not limited to, the right to make, use, sell, offer for sale, import, have made, and have sold, products and services. To the extent any of the rights, title and interest in and to any such IP can neither be assigned nor licensed by you to the Sponsor, you hereby irrevocably waive and agree never to assert the non-assignable and non-licensable rights, title and interest against the Sponsor. You hereby waive and irrevocably quitclaim to the Sponsor any and all claims, of any nature whatsoever, that you now have or may hereafter have for infringement of the IP. Any assignment of Ideas includes all rights of attribution, paternity, integrity, modification, disclosure and withdrawal, and any other rights throughout the world that may be known as or referred to as “moral rights,” “artist’s rights,” “droit moral,” or the like (collectively, “Moral Rights”). To the extent that Moral Rights cannot be assigned under applicable law, you hereby waive and agree not to enforce any and all Moral Rights, including, without limitation, any limitation on subsequent modification, to the extent permitted under applicable law.
